StoreCensus Terms of Service

1. Acceptance of Terms

By accessing or using StoreCensus ("we," "us," "our," or "StoreCensus"), you ("User," "you," or "your") agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not access or use StoreCensus.

We may update these Terms at any time without notice. Continued use after changes constitutes acceptance.

2. Service Description

StoreCensus provides access to Lead Data derived from publicly available sources and third-party aggregators, including but not limited to:

  • Shopify store names
  • Website URLs
  • Public business emails
  • Public social profiles
  • Store categorization and insights

We do not guarantee the accuracy, completeness, or availability of any data.

3. Authorized Use

You agree to:

  • Use Lead Data only for lawful business-to-business marketing, prospecting, or research.
  • Comply with all applicable laws, regulations, and marketing practices, including but not limited to the CAN-SPAM Act, GDPR, CCPA, and other data protection and consumer protection laws.
  • Honor all opt-out, unsubscribe, or deletion requests from individuals or businesses you contact.

You must not:

  • Use Lead Data for consumer marketing, spamming, harassment, discrimination, or any illegal activity.
  • Resell, sublicense, distribute, or otherwise provide Lead Data to third parties without prior written consent from StoreCensus.
  • Use StoreCensus services in a way that damages, disables, or impairs the platform or interferes with any other party's use.

4. Data Sourcing and Limitations

All Lead Data provided is sourced from publicly accessible information or reputable third-party data providers. StoreCensus makes no warranty regarding the accuracy, completeness, timeliness, or continued availability of any Lead Data.

You acknowledge that Lead Data may become outdated or inaccurate and that StoreCensus is under no obligation to update it.

5. No Warranties

StoreCensus provides all services and data "as is" and "as available" without any warranty of any kind, express or implied. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or results from use.

We do not guarantee that use of our services will result in increased sales, customer leads, or business growth.

6. Limitation of Liability

To the maximum extent permitted by law:

  • StoreCensus shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.
  • StoreCensus's total liability for any claims under these Terms is limited to the amount paid (if any) by you for accessing StoreCensus services in the six (6) months preceding the claim.

You assume all responsibility for your use of the Lead Data and any communications you initiate based on it.

7. User Indemnification

You agree to indemnify, defend, and hold harmless Dark Ecommerce Labs, LLC (doing business as StoreCensus), its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including attorneys' fees) arising out of or in any way connected to:

  • Your access to or use of StoreCensus
  • Your violation of these Terms
  • Your outreach activities or communications with any third party

8. Termination

We reserve the right to suspend or terminate your access to StoreCensus at any time, without notice or liability, for any reason, including if we believe you have violated these Terms.

9. Governing Law and Binding Arbitration

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Binding Arbitration:

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of StoreCensus shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Casper, Wyoming, and be conducted in English.

Both parties waive the right to a trial by jury and agree that any arbitration will be conducted only on an individual basis, and not in a class, consolidated, or representative action.

The arbitrator's decision will be final and binding, and judgment may be entered upon it in any court having jurisdiction.

10. Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and StoreCensus regarding the service.
  • Severability: If any part of these Terms is found unenforceable, the remainder will continue in effect.
  • No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
